Company Registration in Uganda (Using a lawyer)

Introduction

To legally operate a business in Uganda, you need to register it for licensing purposes, recognition, reduced personal liability, raise funds easily, taxation and bank account opening purposes. A company can be owned by one person (Single Member Company/SMC) or by more than one person/company as Limited Liability Company(LLC) These are the procedural steps I will go through with you:

1. Choosing a distinctive name.

You will propose at least three unique company names (first name listed first), I will check in the government system to see if such names do not already exit and if none already exits, I will reserve one name for you. If the company is already registered outside Uganda, you will only give me its certificate of incorporation, memorandum and articles of association, particulars of the directors/shareholders and company secretary and I will register it.

2. What is needed from you.

a) National ID copy (for Ugandans) or Passport copy for non Ugandans.

b) Telephone contact, email and address for the director(s), beneficial owner and company secretary.

c) Objectives of the company (what the company intends to do in Uganda).

d) Fees.(I send you an invoice, engagement letter/our agreement for signing and you pay the fees) 

3. Drafting, signing and submission of the company documents.

After successfully reserving the name, I use the particulars you give me in 2 above and send you draft documents for signing. When you and the company secretary sign, I submit the signed documents to the government department and the company is successfully registered. One can choose to physically come to my office mentioned on the website or can choose to handle it online. Either way, the company will successfully be registered/ incorporated.

4. Fees Payments.

Fees payable depend on your company’s share capital, the higher the share capital, the higher the costs used to register and this transcends into the fees payable. Fees can be paid through the bank account on the invoice I send you, mobile money, Cash, WesternUnion, MoneyGram, WorldRemit, PayPal or any other digital channels convenient with you. When funds are received, I issue you an acknowledgement of receipt of your money.

When you pay, I acquire a postal address for your company (P.O.Box Number) for free.

5. When the company is registered, what next?

Upon successfully registering your company, I give you its certificate of incorporation/ certificate of registration issued by the Government of Uganda plus other registered company documents, the company will need to acquire a trade license and obtain a Tax Identification Number (TIN) from the Uganda Revenue Authority (URA), a crucial step for your company’s financial/tax compliance. Those that want to use the company documents outside Uganda may need to notarize or apostille the documents.

6. Bank Account Opening:

Establishing a corporate bank account is essential but not compulsory. If you so choose to open a bank account for your company, I will register the company’s bank account opening resolution and give you a bank account opening recommendation all for free. The remaining bank account opening requirements depend on the individual bank you choose, different banks have different requirements, some require your physical presence in order to capture your bio-metrics and others can open it online. 7. Post-Registration Compliance

When the company is legally registered in Ugandan jurisdictions, apart from obtaining licenses and permits specific to your business, it is expected to file company returns and tax returns once a year. I also walk with you through this journey guiding you until you all the way.
